Sobha Limited 31st AGM Agenda Includes ₹1,000 Crore NCD Fundraise Approval and MD Re-appointment

31st Annual General Meeting Agenda

Sobha Limited's 31st AGM is scheduled for July 18, 2026, via video conferencing and other audio-visual means, to address financial statements, director re-appointments, and a proposal to raise ₹1,000 crore via NCDs. E-voting is open from July 14 to July 17, 2026.

The meeting will be conducted through Video Conferencing or Other Audio-Visual Means, in compliance with the applicable provisions of the Companies Act, 2013 and SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015. Physical copies of the notice and annual report have been dispensed with in compliance with Ministry of Corporate Affairs and SEBI circulars, with documents sent electronically to registered members.

NCD Fundraise Proposal

The special resolution to be tabled authorises the company to raise up to ₹1,000 crore through unsecured Non-Convertible Debentures on a private placement basis. The fundraise comes as Sobha accelerates expansion across its geographic footprint and funds large-scale township developments, including its flagship 300-acre Sobha OneWorld project in Bangalore.

Sobha Limited reported its highest-ever annual sales value of ₹81.36 Bn in FY26, up 30% year-on-year, with Sobha's share of sales value rising 35% to ₹67.06 Bn. Consolidated revenue grew 29.33% to ₹53,837.65 million. Sobha achieved its highest-ever quarterly sales value of ₹36,561 mn in Q1 FY27, a 76% YoY increase, with sales area up 62% to 2.34 mn sft. Bangalore and Gurgaon drove growth through new launches including SOBHA OneWorld, Sacred Grove, and SOBHA Crescent.

Dividend and Record Date

Sobha Limited has fixed July 10, 2026, as the record date for a ₹6 per share final dividend for FY 2025-26. The dividend, equivalent to 60% of the face value of ₹10 each, pertains to the Financial Year 2025-26 and will be paid within 30 days of the Annual General Meeting if declared.

Financial Position and Capital Strategy

The company expanded to 13 cities, launched 6.04 million square feet of new projects and maintained a net cash position with ₹18,020 million in cash against gross debt of ₹10,023 million as on March 31, 2026. This net cash balance reflects disciplined capital allocation even as the company pursues aggressive expansion.

Sobha expanded its real estate presence to 13 cities during FY26, entering Greater Noida through SOBHA Aurum and Mumbai through SOBHA Inizio. The company launched 9 new projects across 6 cities with total saleable area of 6.04 million square feet.

Sobha Limited was founded on 7 August 1995 by P. N. C. Menon. Sobha listed on the BSE and NSE in December 2006 in an IPO that was oversubscribed 126 times — a record at the time. The company operates a backward-integrated model, managing in-house manufacturing of concrete, glazing, metalwork, and interior finishes—a structure that distinguishes it among India's listed real estate developers.

Since inception, Sobha has developed a cumulative 152.69 million square feet across real estate and contractual verticals, spanning over 30 cities across 14 states in India. As on March 31, 2026, the company had 41.93 million square feet of ongoing developable area and a forthcoming pipeline of 20.67 million square feet across 13 residential projects in 7 cities and an upcoming commercial asset.

Meeting Mechanics

The company has also established Saturday, July 11, 2026, as the cut-off date to ascertain voting eligibility for the AGM. Shareholders holding shares in dematerialised form will participate directly; those with physical holdings will need to ensure their details are registered and updated with the company's registrar.
